North American Public Equity Markets Transactions

MillhouseIAG banked CHK Wireless Technologies Inc., (now Gridsense Inc.) with a private placement, capitalisation planning, Offer Documentation preparation and an Initial Public Offering on the Canadian Venture Exchange (now TSX Venture Exchange). Founders increased their IRR from 19.5% p.a. to over 30% p.a. whilst incoming investors were able to achieve approximately 60% p.a. The first round capital was provided by MIAG, employees, and friends of the Founder. Second round capital came largely from Canada, with later placements from the US, Switzerland and Singapore.
Gridsense Inc. was the first Australian company to conduct an IPO on the TSX Venture Exchange.
Upper Hunter Valley, NSW
MillhouseIAG banked Yarraman Estate Pty Ltd, a successful reverse merger with a publicly listed US company. The transaction provided Yarraman Estate Pty Ltd with four primary outcomes:
- New equity capital
- Liquidity for their existing shareholders
- Exit and ongoing capitalisation opportunities through the migration opportunities onto senior public trading exchanges within the United States. E.g NASDAQ, AMEX, NYSE
- Presence in the United States market
- Distribution and marketing opportunities
- International reach and scope
As part of this transaction Yarraman Winery Inc. raised significant new equity capital and is capitalised at US$50 million on a public trading exchange in the United States.
